- Paralegal / Long-Term Intern
Practice Areas: M&A, Private Equity & General Corporate
Nature of Engagement:
Full-time internship for 6–12 months, with an opportunity for absorption as an Associate, strictly subject to performance.
Eligibility
5th-year student of a 5-year integrated law programme
Strong interest in corporate law, M&A, and commercial transactions
Key Responsibilities
Legal research on the Companies Act, FEMA / FDI / ODI framework, SEBI regulations, and allied commercial laws
Assisting in legal due diligence exercises
Drafting and vetting ancillary transaction documents including:
NDAs
Commercial contracts
Engagement letters
Board and shareholder resolutions
Legal notices
Execution and closing checklists
Proofreading transaction documents for formatting, consistency, and cross-referencing
Supporting regulatory filings and compliance documentation
Assisting, where required, on select assignments with the Capital Markets team
Compensation:
As per industry standards for paralegals

PQE: Fresher to 1-year PQE
Key Responsibilities
Legal research on the Companies Act, FEMA / FDI / ODI framework, SEBI regulations, and allied commercial laws
Assisting in legal due diligence exercises
Drafting, reviewing, and assisting in negotiation of transaction documents, including:
Share Purchase Agreements (SPAs)
Share Subscription / Shareholders’ Agreements (SSA/SHAs)
Slump sale agreements
Term sheets
Drafting and vetting ancillary transaction documents such as NDAs, commercial contracts, engagement letters, board/shareholder resolutions, legal notices, and closing checklists
Proofreading documents for formatting, consistency, and cross-referencing
Supporting regulatory filings and compliance documentation
Assisting, as required, on select assignments with the Capital Markets team
Preferred (Not Mandatory):
Prior exposure to M&A, Private Equity, or General Corporate work through internships or transactional experience.
Compensation:
As per industry standards, subject to experience and performance
