About the Job:
RevX Capital is seeking an experienced legal professional to join its expanding Legal team in Gurugram as AVP – Legal or Senior Associate – Legal. This on-site role involves working on high-stakes corporate and transactional matters, with a particular focus on private credit, structured finance, and special situations. The successful candidate will draft and negotiate complex financing documents, ensure regulatory compliance, and provide strategic legal support for debt transactions.

Eligibility:

• Company Secretary (CS) or Bachelor’s degree in Law (LL.B.) is required; an LL.M. will be an added advantage.
• Strong experience in corporate law, legal documentation, and financing transactions.
• Prior exposure to Alternative Investment Fund (AIF) or Non-Banking Financial Company (NBFC) structures is preferred.
• Excellent analytical, drafting, and communication skills.
• Ability to work closely with business teams and manage multiple stakeholders effectively.

Roles and Responsibilities:

• Draft, review, and negotiate transaction documentation including loan agreements, debenture subscription agreements, security documents, and other financing documents.
• Provide comprehensive legal support on the structuring and execution of debt transactions.
• Ensure compliance with applicable regulatory frameworks, including SEBI and RBI regulations.
• Support negotiations with founders, investors, and counterparties.
• Conduct legal research and provide analytical inputs on complex transactions and special situations.

Duration:
Full-time, permanent position.
